We have handled all the legal transactions required for the establishment of Jeraisy Plastic cards factory in Saudi Arabia with a partnership with Gemplusand transfer of the smart cards technology from Gemplus International S.A., the world’s leading provider of smart card solutions, starting from MOU, shareholders agreement, transfer of technology, licensing agreement, cross licensing agreement, reformation of the company, consultancy agreement, construction agreements, machinery purchase and installation agreements, company resolutions, etc.

We have significantly contributed to and controlled crisis management with some of our key clients, due to the unexpected fluctuation of the hard currency, from 2000 to 2003 and succeeded to drive them from a full collapse to high successes.

We have handled all the legal transactions required for the establishment of Steelcase (United States- based furniture company founded in 1912 In grand rapid, Michigan) Factory in Saudi Arabia in partnership with the Jeraisy Group, a Saudi company for office furniture, starting from MOU, shareholders agreement, transfer of technology, licensing agreement, cross licensing agreement, formation of the company, consultancy agreement, construction agreement, machinery purchase and installation agreements, Company Resolutions, etc.

We have handled all the legal transactions required for the supply and installation of a weather radar system between the Gematronik Co. (The German Technology Leader in Weather Radar Systems) and Jeraisy Computer Services Co. for the General Authority for Meteorology and environment in the Kingdom of Saudi Arabia.

We have negotiated, drafted and finalized the construction agreement (FIDIC agreement) made between Jeraisy Group Company in Saudi Arabia and Philipp-Holzmann (the world’s leading company of construction works) for the construction of the headquarters of Jeraisy Group in Riyadh, and all other contracts related to the project.

We have negotiated and finalized the Funding agreement and two acquisition agreements between Silk Trust Private Equity Co. and RMD Trading S.A.E. We have negotiated and finalized Sale and purchase agreement of land in Tokyo for the establishment of a mosque and registration thereof.

We have negotiated, drafted and finalized Joint venture agreement, shareholders agreement, formation of a company between Emirate Company and Egyptian company for establishment of three big community centers in Egypt.

We have negotiated, drafted and finalized the shareholders agreement and hospital management agreement for the Saudi German Hospital in Egypt.

We have handled all the legal transactions required for the establishment of OCL Egypt Company for logistic business in Egypt, with partnership with Prime Cargo Company, the world’s leading company in logistic business, starting from MOU, shareholders agreement, formation of the company, lease agreements, company resolutions and services and logistics agreements.

Negotiating, studying and drafting the Software licensing agreements and/or teaming agreements between CIT MOBIDIV and number of the international mobile manufacturers globally.

We have contributed to the governmental auctions made by the General Authority of New Urban Communities, for the sale of plots of lands in New Cairo and Sixth of October Cities, by studying and negotiating the terms and conditions thereof and advising local and international bidders on compliance thereto.

We have contributed to the governmental tenders made by the General Authority of Metrology and Environment in Saudi Arabia, for the three years upgrade and TPM agreement of the metrological equipment and systems, by studying and negotiating the terms and conditions thereof and advising local and international bidders on compliance thereto.

We have negotiated, drafted, commented on and concluded more than 700 commercial agency, distribution, alliances, franchising, licensing and business partner, agreements between Gulf and ME companies and international companies in Japan, china, UK, USA, Germany, France, Italy, Taipeietc.

We have carried Intellectual Property Registrations, for trademarks locally and internationally as well as patent registration for a sea wave energy convertor locally, through the WIPO and at the EPO and USPTO, as well as advised, discussed and concluded the cooperation agreements with several educational institutes, including Hamburg University and the protocol with the Egyptian Authorities for executing the prototype of the renewable energy convertor (sea waves energy convertor) in cooperation with the Egyptian Government.

We advised and worked on several companies restructuring and advised clients on best business models to conclude their business and drafted, negotiated and concluded business partnership agreements tailored pursuant to each country’s legislation requirements especially with regards to foreign partnership restrictions- and business need on a case-by-case basis.

We have exclusively represented Mountain View Company, a leading top real estate developer in the market, for over 10 years starting from their first project in handling and concluding the full deals including land and/or companies acquisitions, construction agreements, units sale agreements.

Also represented and advised its holding company, Dar El Mimar Group and all its 12 subsidiaries, working on construction, landscaping, design, hardware, marketing, facility management, food industry, and others.
